These Terms and Conditions (“Terms”) govern your use of the services provided by Honey Badger SEO (“we,” “us,” “our”). By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.

1. Definitions

  • Client: The person or entity entering into the agreement with Honey Badger SEO.
  • Services: The digital media services provided by Honey Badger SEO, including but not limited to, web design, digital marketing, content creation, and social media management.

2. Services

2.1 Scope

  • We agree to provide the Services described in the proposal or agreement signed by the Client. Any additional services requested by the Client will be subject to additional fees.

2.2 Changes

  • Any changes to the scope of Services must be agreed upon in writing by both parties. We reserve the right to charge additional fees for any changes that affect the scope, effort, or timeline of the Services.

3. Fees and Payment

3.1 Fees

  • The fees for our Services are outlined in the proposal or agreement. All fees are exclusive of VAT, which will be added at the applicable rate when required.

3.2 Payment Terms

  • General Invoices are payable within 30 days and subscription invoices are payable within 7 days from the date of the invoice unless otherwise agreed in writing. We reserve the right to suspend Services if payment is not received within the agreed timeframe. The initial payment for Services is required before any work is undertaken.

3.3 Late Payments

  • Late payments may incur interest at a rate of 10% above the Bank of England base rate from the due date until the date of payment. We retain the right to waive interest charges to clients.

4. Client Obligations

4.1 Information and Materials

  • The Client agrees to provide all information, materials, and approvals required for us to perform the Services in a timely manner. The Client warrants that all materials provided are accurate and do not infringe on any third-party rights.

4.2 Cooperation

  • The Client agrees to cooperate with us and provide access to necessary personnel and resources to facilitate the performance of the Services.

5. Intellectual Property

5.1 Ownership

  • All intellectual property rights in any materials created by us during the provision of the Services will remain with Honey Badger SEO until full payment has been received. Upon full payment, ownership of these materials will transfer to the Client.

5.2 License

  • The Client grants us a non-exclusive, royalty-free, worldwide license to use the Client’s name, logo, and any other materials provided by the Client for the purposes of providing the Services.

6. Confidentiality

6.1 Confidential Information

  • Both parties agree to keep confidential all information disclosed by the other party that is marked as confidential or would reasonably be considered confidential.

6.2 Exceptions

  • Confidential information does not include information that is publicly available, already known to the receiving party, independently developed by the receiving party, or required to be disclosed by law.

7. Warranties and Disclaimers

7.1 Warranties

  • We warrant that we will provide the Services with reasonable skill and care.

7.2 Disclaimers

  • We do not warrant that the Services will be uninterrupted or error-free. We are not responsible for any delays or failures caused by circumstances beyond our reasonable control.

8. Liability

8.1 Limitation of Liability

  • To the maximum extent permitted by law, our total liability to the Client for any claim arising out of or in connection with these Terms or the provision of the Services will not exceed the total fees paid by the Client to us in the month preceding the claim.

8.2 Exclusion of Liability

  • We will not be liable for any indirect, consequential, or special losses, including loss of profits, revenue, data, or business opportunities.

9. Termination

9.1 Termination by Client

  • The Client may terminate the agreement by giving 30 days written notice. The Client will be liable for any fees incurred up to the date of termination.

9.2 Termination by Us

  • We may terminate the agreement immediately if the Client breaches any of these Terms or fails to make payment when due.

10. Governing Law

  • These Terms will be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Miscellaneous

11.1 Entire Agreement

  • These Terms, together with the proposal or agreement, constitute the entire agreement between the parties and supersede all prior agreements and understandings.

11.2 Amendments

  • Any amendments to these Terms must be agreed in writing by both parties.

11.3 Severability

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

11.4 Waiver

  • No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right.
